Terms of use
Version of 31 October 2026
This English version is provided for convenience. In case of discrepancy, the French version prevails.
Terms applicable to the Ductis service during its pilot phase. Ductis is for businesses only: these terms govern a relationship between businesses.
1. Purpose
These terms set out how the Ductis online software (the “Service”), published by [to complete: publisher’s company name — ORIGO EVERWORKS, or your own name if a sole trader] (the “Publisher”), may be accessed and used by the company that creates a workspace (the “Customer”) and by the people it invites (the “Users”).
2. Access to the Service
Access is reserved for companies and professionals. During the pilot phase, creating a workspace requires an access code provided by the Publisher. The person who creates the workspace declares that they are authorised to bind the Customer and accepts these terms on its behalf.
3. Pilot phase
The Service is a minimum viable product (MVP) under development. Its features may change, be modified or be withdrawn. An up-to-date list of what is available and what is planned is published at ductis.eu/progress. No service level commitment (availability, response time) is made during this phase.
Financial terms of the pilot phase: [to complete: free of charge or agreed price, and duration of the pilot phase].
4. Accounts and security
Each User has personal credentials that they keep confidential. The Customer chooses its Users’ roles (owner, manager, viewer) and remains responsible for actions carried out with the access it has created. Enabling two-factor authentication is recommended, especially for the owner. Any unauthorised use must be reported without delay to contact@ductis.eu.
5. Customer obligations
- use the Service lawfully and for its intended purpose;
- enter accurate information, in particular its own legal details and those of its customers;
- have a legal basis for the personal data it records (customers, prospects, suppliers);
- keep its own exports of the documents it is legally required to retain.
6. Invoicing and tax obligations
Ductis helps produce numbered quotes, invoices and credit notes. The Customer remains solely responsible for the compliance of its documents and for its tax and accounting obligations. Ductis is not an approved platform under the French e-invoicing reform and does not, at this stage, transmit invoices or data to the tax authorities. In France, issuing electronic invoices becomes mandatory for SMEs from 1 September 2027 and must go through an approved platform chosen by the Customer.
7. Customer data
Data entered into the Service belongs to the Customer. For the personal data it contains, the Publisher acts as a processor under the data processing agreement, which forms part of these terms.
The database is backed up every day and backups are kept for 14 days. During the pilot phase, these backups are stored on the same server as the Service: they protect against a mistake or data corruption, but not against the loss of the server itself. The Customer is encouraged to keep its own exports (sales journal, PDF documents).
8. Availability and maintenance
The Publisher uses reasonable means to provide access to the Service, without guaranteeing continuous availability. Interruptions may occur for maintenance, updates or incidents; the Publisher endeavours to announce them in advance when they are foreseeable.
9. Liability
The Publisher has an obligation of means. Its liability is limited to proven direct damage resulting from a breach of its obligations, up to the amounts actually paid by the Customer for the Service in the twelve months preceding the event giving rise to the claim. Indirect damage is excluded, in particular loss of revenue, customers or data of which the Customer kept no export. These limits do not apply in case of gross negligence or wilful misconduct.
10. Intellectual property
The Service, its code, brand and documentation remain the property of the Publisher. The Customer is granted a personal, non-exclusive and non-transferable right of use for the duration of its access.
11. Confidentiality
Each party keeps confidential the other party’s non-public information that comes to its knowledge, for the duration of use of the Service and three years afterwards.
12. Term, suspension and termination
The Customer may stop using the Service and ask for its workspace to be closed at any time. The Publisher may end the pilot phase with 30 days’ notice, or suspend access without notice in case of fraudulent use or use that threatens the security of the Service. On closure, the Customer has 30 days to export its data; it is then deleted, and disappears from backups no later than 14 days afterwards.
13. Changes to these terms
The Publisher may change these terms. Customers are informed at least 30 days before a substantial change takes effect; continued use constitutes acceptance.
14. Governing law and disputes
These terms are governed by French law. Failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the [to complete: commercial court of the publisher’s registered office].
